Service Provider Terms

These Service Provider Terms (“Terms”) apply to businesses and independent professionals who apply to join, advertise, receive leads, or provide services through IndepenX (“Service Providers,” “Providers,” or “you”).

By applying to join IndepenX, creating or maintaining a provider profile, purchasing provider services, or accepting opportunities through the platform, you agree to these Terms.

1. Independent Service Providers

IndepenX operates a marketplace that helps households discover and connect with independent service providers.

Providers are independent businesses and are not employees, agents, partners, representatives, or subcontractors of IndepenX.

IndepenX does not perform, direct, supervise, control, or guarantee services performed by Providers. Providers determine how their services are performed and are responsible for their own employees, subcontractors, equipment, transportation, taxes, business expenses, and operations.

2. Provider Eligibility

Providers must submit accurate and complete information when applying to IndepenX.

IndepenX may review applications and may approve, decline, suspend, or remove a Provider from the platform at its discretion, subject to applicable law.

Approval to participate on IndepenX does not constitute an endorsement, certification, or guarantee of a Provider or the Provider's services.

3. Licensing, Insurance & Compliance

Providers are solely responsible for obtaining and maintaining all licenses, registrations, insurance, permits, bonding, certifications, and other authorizations required for the services they offer.

Providers must comply with all applicable federal, state, and local laws, regulations, building codes, permitting requirements, and professional standards.

Providers may only advertise or perform services they are legally authorized and qualified to perform.

IndepenX may request documentation relating to licensing, insurance, identity, business registration, or other qualifications at any time.

4. Background & Identity Verification

IndepenX may conduct or facilitate identity, business, or background verification for certain Providers.

Any “Background Checked,” “Verified,” or similar designation indicates only that the Provider completed the applicable IndepenX verification process at the time of review.

Such a designation does not guarantee a Provider's current licensing status, qualifications, insurance coverage, workmanship, reliability, or suitability for a particular project.

5. Provider Profiles & Listing Accuracy

Providers must keep their business information accurate and current, including:

  • Contact information
  • Services offered
  • Service areas
  • Availability
  • Licensing or insurance information
  • Pricing or estimates displayed through the platform

Providers may not provide false, misleading, deceptive, or materially incomplete information.

IndepenX may edit, restrict, suspend, or remove listings that violate these Terms, contain inaccurate information, remain unresponsive, or receive repeated substantiated complaints.

6. Leads & Service Opportunities

IndepenX may connect Providers with homeowners or households seeking services.

Unless expressly stated otherwise, leads and service opportunities are non-exclusive and may be offered to more than one Provider.

IndepenX does not guarantee any minimum number of leads, jobs, customers, responses, bookings, revenue, or earnings.

A lead or introduction does not guarantee that a homeowner will hire the Provider.

7. Provider Fees

Approved Providers may be subject to membership, lead, advertising, platform, transaction, or other fees depending on the services or plan selected.

Applicable pricing, billing terms, commitments, and cancellation conditions will be disclosed before the Provider purchases or enrolls in a paid service.

Providers are responsible for all fees they authorize or incur under their selected plan or service.

8. Payments & Platform Fees

Where IndepenX provides payment processing, Providers authorize IndepenX and its payment-processing partners to process transactions associated with services arranged through the platform.

Applicable platform fees, payment-processing fees, refunds, payout terms, and other transaction charges will be disclosed through the applicable provider plan, payment terms, or transaction flow.

Providers may be required to establish and maintain an account with IndepenX's designated payment-processing provider to receive payouts.

Additional payment terms may apply when payment functionality becomes available.

9. Relationship With Homeowners

The Provider is responsible for communicating the scope, price, schedule, materials, warranties, and other terms of a project to the homeowner before performing work.

Unless expressly stated otherwise, any agreement for services is between the Provider and the homeowner.

Providers are responsible for the quality, safety, legality, completion, and warranty of their work.

10. Professional Conduct

Providers must treat homeowners, family members, and other platform users professionally and respectfully.

Providers may not use IndepenX to engage in fraud, discrimination prohibited by law, harassment, intimidation, deceptive business practices, exploitation, or other unlawful conduct.

Because IndepenX serves households that may include older adults and individuals seeking aging-in-place support, Providers are expected to exercise appropriate professionalism and respect while working in customers' homes.

11. Reviews & Feedback

Homeowners may be permitted to submit ratings, reviews, complaints, or other feedback regarding Providers.

IndepenX may display such feedback in accordance with its policies.

Providers may not manipulate reviews, submit fraudulent reviews, compensate users specifically for positive reviews, or retaliate against users for submitting legitimate feedback.

12. Non-Medical Platform

IndepenX is a non-medical support and service marketplace.

IndepenX does not provide medical diagnosis, medical treatment, nursing services, emergency response, or other healthcare services.

Providers may not use IndepenX to represent themselves as providing medical or healthcare services unless such services are expressly permitted by IndepenX and the Provider possesses all legally required credentials and authorizations.

If an emergency occurs, users should contact the appropriate emergency services.

13. Safety & Property Responsibility

Providers are responsible for performing services safely and taking reasonable precautions to protect homeowners, occupants, pets, and property.

Providers are responsible for damage, injury, loss, or other claims arising from their work to the extent provided by applicable law.

14. Suspension & Termination

IndepenX may restrict, suspend, or terminate a Provider's access to the platform for reasons including:

  • Violation of these Terms
  • Fraud or deceptive conduct
  • Required licenses or insurance becoming invalid
  • Safety concerns
  • Repeated substantiated customer complaints
  • Nonpayment of applicable fees
  • Misuse of homeowner information
  • Conduct that creates material risk to users or the platform

Termination does not eliminate payment obligations or other responsibilities incurred before termination.

15. Homeowner Information & Privacy

Providers may use homeowner information received through IndepenX only for legitimate purposes related to the requested service.

Providers may not sell, scrape, harvest, distribute, or use homeowner information for unrelated marketing or other unauthorized purposes.

Providers must handle personal information in accordance with applicable privacy laws and the IndepenX Privacy Policy.

16. No Guarantee of Business Results

IndepenX does not guarantee that participation on the platform will result in leads, customers, contracts, revenue, repeat business, or any particular financial result.

Marketplace activity may vary based on location, service category, seasonality, competition, homeowner demand, and other factors.

17. Limitation of IndepenX's Role

IndepenX provides technology, marketplace, discovery, communication, advertising, and related platform services.

IndepenX is not a party to the actual performance of services between Providers and homeowners unless expressly stated otherwise.

To the extent permitted by applicable law, IndepenX is not responsible for a Provider's acts, omissions, workmanship, representations, property damage, injuries, disputes, or failure to perform.

18. Changes to These Terms

IndepenX may update these Terms from time to time.

When material changes are made, IndepenX will provide notice as required by applicable law. Continued use of provider services after updated Terms become effective constitutes acceptance where legally permitted.

19. Additional Agreements

Certain IndepenX products or services—including Leads, Ads, Featured or Spotlight placement, payment processing, subscriptions, or promotional programs—may be governed by additional terms.

If additional terms conflict with these Terms regarding a specific paid service, the terms applicable to that service will control for that service.
