1. About IndepenX

IndepenX is a non-medical technology and service marketplace designed to help individuals and households plan for greater safety, accessibility, mobility, and long-term independence at home.

IndepenX may provide assessments, Independence Scores, recommendations, action plans, educational information, service-provider discovery, marketplace functionality, communications, and other tools intended to support aging-in-place and independent-living planning.

IndepenX may also connect users with independent businesses and service professionals.

2. Eligibility & Accounts

You must provide accurate and current information when creating or maintaining an IndepenX account.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account.

You may not impersonate another person, create an account using false information, or use another person’s account without authorization.

You must promptly notify IndepenX if you believe your account has been compromised or used without authorization.

3. Household Profiles & Assessments

IndepenX may allow users to provide information about their household, home, accessibility, mobility considerations, safety priorities, preferences, and future independent-living goals.

This information may be used to generate an Independence Score, recommendations, action plan, service suggestions, or provider matches.

Assessment results are informational and planning tools. They do not guarantee that a home is safe, accessible, suitable for a particular individual, or free from hazards.

Conditions may change, and users remain responsible for evaluating their individual circumstances and obtaining appropriate professional advice when necessary.

4. Independence Scores, Recommendations & Action Plans

Any Independence Score, recommendation, priority, action plan, estimate, educational content, or similar information generated through IndepenX is intended to assist with planning and decision-making.

Such information is not a guarantee of future independence, safety, health outcomes, property condition, project results, or service-provider performance.

Users should use their own judgment and seek qualified professional assistance when appropriate.

5. Non-Medical Platform

IndepenX is a non-medical platform.

IndepenX does not provide medical diagnosis, medical treatment, nursing services, medical advice, emergency response, or other healthcare services.

Information provided through IndepenX is not a substitute for advice, diagnosis, or treatment from a qualified healthcare professional.

If you are experiencing a medical or other emergency, contact the appropriate emergency services.

6. Independent Service Providers

Service providers available through IndepenX are independent businesses or professionals.

Unless expressly stated otherwise, they are not employees, agents, representatives, partners, or subcontractors of IndepenX.

IndepenX does not perform, direct, supervise, or control the work performed by independent service providers.

Providers are responsible for their own services, pricing, employees, subcontractors, licensing, insurance, permits, qualifications, workmanship, warranties, legal compliance, and business operations.

7. Provider Verification

IndepenX may perform or facilitate certain identity, business, or background-verification processes for service providers.

A “Background Checked,” “Verified,” or similar designation indicates only that the provider completed the applicable IndepenX verification process.

Such a designation is not a guarantee of the provider’s licensing status, insurance coverage, qualifications, reliability, workmanship, safety, or suitability for a particular project.

Homeowners are responsible for evaluating providers and should independently verify licenses, insurance, permits, references, qualifications, and other requirements appropriate to the work being performed.

8. Hiring & Working With Providers

When you choose to contact, hire, or otherwise engage an independent service provider through IndepenX, the agreement for the actual services is generally between you and that provider.

Before work begins, homeowners should confirm matters including:

• Scope of work
• Price or estimate
• Materials
• Schedule
• Permits
• Licensing
• Insurance
• Warranties
• Payment terms

IndepenX is not responsible for promises, representations, estimates, contracts, workmanship, delays, cancellations, property damage, injuries, disputes, or other acts or omissions of independent service providers, except to the extent required by applicable law.

9. Marketplace & Provider Availability

IndepenX does not guarantee that a particular provider will be available in your area or that a provider will accept a particular project.

IndepenX also does not guarantee the number, type, pricing, availability, quality, or suitability of providers displayed through the marketplace.

Marketplace results may depend on factors including service category, geographic area, availability, search criteria, provider participation, and paid placement.

A Featured designation indicates paid or enhanced marketplace placement and does not constitute an endorsement, guarantee, certification, or determination that a provider is superior to other providers.

10. Payments

IndepenX may offer functionality that allows users to make payments related to services arranged through the platform.

Payments may be processed by third-party payment processors.

When payment functionality is used, additional payment, cancellation, refund, transaction, or provider-specific terms may apply and will be disclosed where applicable.

IndepenX may receive platform or transaction fees from participating service providers.

Unless expressly stated otherwise, IndepenX does not determine the final price charged by an independent provider for the provider’s services.

11. Reviews & User Content

IndepenX may allow users to submit ratings, reviews, comments, photographs, project information, or other content.

You agree that content you submit will be truthful, based on genuine experiences where applicable, and will not be fraudulent, defamatory, threatening, unlawful, misleading, or infringe the rights of others.

You may not manipulate ratings or reviews or submit content in exchange for improper compensation.

IndepenX may moderate, restrict, or remove content that violates these Terms or applicable policies.

12. Acceptable Use

You may not use IndepenX to:

• Commit fraud or engage in deceptive conduct
• Harass, threaten, exploit, or impersonate another person
• Violate applicable laws or regulations
• Scrape, harvest, or improperly collect user or provider information
• Attempt unauthorized access to accounts, systems, or data
• Introduce malicious software or interfere with platform operation
• Circumvent security or access controls
• Use the platform for unauthorized commercial solicitation
• Misrepresent your relationship with IndepenX
• Use IndepenX in a manner that materially harms users, providers, or the platform

13. Privacy

Your use of IndepenX is also subject to the IndepenX Privacy Policy.

The Privacy Policy explains how IndepenX collects, uses, shares, retains, and protects information associated with the Services.

14. Third-Party Services & Links

IndepenX may contain links to, integrations with, or functionality provided by third-party websites, service providers, payment processors, authentication providers, or other services.

IndepenX does not control third-party services and is not responsible for their content, availability, security, privacy practices, or independent actions.

Your use of third-party services may be governed by their own terms and privacy policies.

15. Intellectual Property

The IndepenX platform and its original content, branding, software, design, graphics, logos, assessment methodologies, and other proprietary materials are owned by or licensed to IndepenX and are protected by applicable intellectual-property laws.

These Terms do not grant users ownership of IndepenX intellectual property.

You may use the Services only for their intended purposes and in accordance with these Terms.

16. Service Availability & Changes

IndepenX may modify, improve, suspend, discontinue, or introduce features or Services from time to time.

We do not guarantee uninterrupted or error-free availability of the platform.

Maintenance, technical problems, third-party outages, security events, or other circumstances may temporarily affect access to some or all Services.

17. Account Suspension & Termination

IndepenX may restrict, suspend, or terminate access to an account when reasonably necessary, including for:

• Violations of these Terms
• Fraud or suspected fraudulent activity
• Security concerns
• Abuse of users or providers
• Unauthorized platform use
• Legal or regulatory requirements
• Conduct that creates material risk to IndepenX or its users

Users may stop using IndepenX at any time and may request account deletion subject to applicable retention requirements described in the Privacy Policy.

18. Disclaimers

To the extent permitted by applicable law, IndepenX provides the platform and Services on an “as is” and “as available” basis.

IndepenX does not warrant that assessments, recommendations, marketplace results, provider information, platform content, or Services will be complete, error-free, uninterrupted, or suitable for every user’s particular circumstances.

Nothing on IndepenX constitutes a guarantee that modifications, products, services, or recommendations will prevent falls, injuries, accidents, property damage, health events, loss of independence, or other outcomes.

19. Limitation of Liability

To the fullest extent permitted by applicable law, IndepenX will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the Services, independent service providers, marketplace transactions, or inability to access the platform.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless IndepenX and its affiliates, officers, employees, and representatives from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Services, violation of these Terms, or infringement of another person’s rights.

21. Changes to These Terms

IndepenX may update these Terms as the platform, Services, or legal requirements evolve.

When material changes are made, IndepenX will update the “Last Updated” date and provide additional notice when required by applicable law.

Where required, users may be asked to accept materially updated Terms before continuing to use certain Services.

22. Additional Terms

Certain IndepenX features, transactions, programs, or services may be subject to additional terms.

Service providers are also subject to the separate IndepenX Service Provider Terms.

If additional terms apply to a particular service, those terms will govern that service to the extent of any conflict with these general Terms.

23. Governing Law

These Terms are governed by the laws applicable to IndepenX’s operating entity and principal place of business, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise.

Any mandatory rights available to consumers under applicable law remain unaffected.
